1. Introduction

3. End User Licence Agreement (EULA)

Each Party represents and warrants that the Content they contribute:

• Does not infringe on the copyrights, trademarks, trade secrets, patents, or other intellectual property rights of any third party.
• Does not violate any statute, law, ordinance, or regulation.

8. Indemnity

To the maximum extent permitted by law, each Party agrees to indemnify and hold harmless the other Party and its affiliates, employees, agents, and licensors from claims, damages, or liabilities arising from Content contributed by the indemnifying Party.

9. Disclaimer of Warranties

To the extent permitted by law:

• The platform and its Content are provided “As Is” and “As Available.”
• dcfmodeling.com makes no guarantees regarding uninterrupted or error-free operation.
• No implied warranties of fitness for a particular purpose, merchantability, or non-infringement are provided.

10. Force Majeure

Neither Party shall be liable for delays or failure to perform due to events beyond reasonable control, including but not limited to natural disasters, internet outages, or acts of God.

11. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Modifications

No modifications to these Terms shall be effective unless in writing and signed by authorized representatives of both Parties.

13. Governing Law

These Terms are governed by the laws of the State of Massachusetts, without regard to its conflict of law principles.

14. Assignment

Neither Party may assign rights or obligations without prior written consent from the other Party. This Agreement binds the Parties and their successors and permitted assigns.

15. No Waiver

Failure or delay in exercising rights under these Terms does not constitute a waiver.

16. No Agency

No agency, employee-employer, or franchisor-franchisee relationship is created by these Terms.

17. Interpretation

Headings are for reference purposes only and do not limit the scope of these sections.

18. Notices

Notices will be sent electronically via email from support@dcfmodeling.com.

19. Entire Agreement

These Terms constitute the entire agreement between the Parties and supersede any prior agreements regarding the subject matter.
